These Creator Terms are the agreement between you, a creator, and Cognitiva Systems Inc. ("Cognitiva", "we", "us") for Cognitiva Verified, your wallet and the deals you sign on CognitivaOS. They are written to be read without a lawyer. The Terms of Use govern brands, agencies and API customers; where you also hold a brand or agency account, the Terms of Use apply to that account.

1. WHO WE ARE
Cognitiva Systems Inc. is a Texas corporation with its registered office at 801 Travis Street, Suite 2101, Houston, TX 77002, United States, and offices in New York, Washington, DC, Dubai, Sarajevo and Singapore. CognitivaOS is the legal, payment and compliance layer for creator marketing: it confirms who creators are, provides the contract framework brands and agencies sign with creators, applies the right disclosure and tax treatment per market, and instructs licensed payment partners to set money aside at signing and release it on approval.
Cognitiva is not a bank, not a marketplace, not a talent agency and not a law firm. We never hold your money on our own balance sheet, we never take a cut of your payouts, and we are not a party to the contracts you sign with brands or agencies.
2. WHO CAN USE THE SERVICE
- You must be at least 18 years old.
- You verify only profiles that are yours, or that you are authorised to represent.
- If you work through a registered business, you confirm that you are authorised to act for it.
- You may not use the Service if you are on a sanctions list or in a country where we cannot lawfully pay you.
3. COGNITIVA VERIFIED
3.1 The five checks
Cognitiva Verified confirms, once, that:
- It's you. Photo ID and a quick selfie (a liveness check and a face match run by our identity-verification provider).
- You live where you say. Document and address check.
- Your business is in order. Registration and tax details, where your country has them.
- You can be paid. Bank account verified, sanctions screening done.
- This profile is yours. Your social handle, confirmed with a code or a login.
The checks are carried out by regulated identity and business-data providers. They hold your documents and the biometric data from the liveness check under their own regulatory obligations. Cognitiva stores the result of each check, a reference and the expiry date, not your documents. The Privacy Policy explains this in detail.
3.2 What the badge means, and what it does not
Your public badge page shows which of the five checks passed, the date they were run and when they expire. It shows nothing about your reach, your rates or your content.
The badge is a record of those checks on that date. It is not a warranty of your reach, your quality, your future conduct or your suitability for any campaign, and brands and agencies make their own decisions.
3.3 Renewal, withdrawal and suspension
- Verification is renewed once a year so the badge stays true. We remind you before it expires.
- You can remove your badge at any time from your record page or by writing to contact@cognitiva.systems.
- We may suspend or withdraw a badge if a check later proves to have been passed on false information, if a sanctions screening changes, or if a profile turns out not to be yours. We tell you which check is affected and how to fix it.
3.4 If a check does not pass
You see which check did not pass and what to do. You can try again at no extra cost.
4. THE FEE
- Verification costs USD 4, once, charged in US dollars in every market.
- The fee is credited back to your wallet when your first campaign booked through Cognitiva is paid.
- The fee is not refunded if you decide not to use the Service, but retrying a failed check is free.
- We never take a cut of your payouts. Brands and agencies pay for the platform; you do not.
5. YOUR WALLET
Every verified creator gets a payout wallet. The wallet is provided and operated by a licensed payment partner under that partner's terms, which you accept when the wallet is opened. Cognitiva never holds the money in your wallet; the partner does. Nothing is charged to your wallet by us.
6. DEALS SIGNED ON COGNITIVAOS
6.1 Your contract is with the brand or agency
When a brand or agency books you, you and they sign a contract on the platform. The contract is built on your country's legal framework, in your language, and it says what you deliver, what the brand may do with your content, for how long and where, and what you earn. Cognitiva provides the framework and keeps the record; Cognitiva is not a party to the contract.
6.2 Money set aside at signing, released on approval
The moment you sign, the brand's or agency's money for that deal is set aside with the licensed payment partner. When the brand or agency approves your work, the money is released to your wallet, typically within days. The money is never held longer than approval: if the work is not approved, the contract says what happens next (revision, part payment, or return to the brand), and the record shows every step.
6.3 Usage rights
Your rights are in writing in every contract. If a brand wants more than the contract says, it is a new line and a new fee, agreed on the platform, not a surprise.
6.4 Disputes
If you and a brand or agency disagree about a deliverable or a payment, the contract's dispute terms apply. Cognitiva keeps the record of what was agreed, delivered, approved and paid, and makes it available to both parties. Cognitiva does not decide disputes and does not guarantee payment by a brand or agency.
7. TAX INFORMATION
We collect the tax information your market requires once, during verification, and attach the right paperwork to every payout so your accountant gets one clean statement. You are responsible for the accuracy of the information you give and for your own taxes. Nothing on the platform is tax advice.
8. YOUR DATA
How we handle your personal data, including the biometric check run by our identity-verification provider and your rights under the laws of your country, is set out in our Privacy Policy. By starting verification you give explicit consent to the liveness check and face match; you can withdraw it by not completing verification.
9. YOUR RESPONSIBILITIES
- Give us accurate information and keep it up to date.
- Keep your login details safe and tell us at once if someone else uses your account.
- Follow the Acceptable Use Policy and the laws of your market, including advertising disclosure rules.
- Do not verify, or attempt to verify, a profile that is not yours.
10. WHAT WE DO NOT PROMISE
The Service is provided as described on cognitivasystems.com. We do not promise that you will be booked, that any brand will approve your work, or that any brand or agency will pay. We are not responsible for the content of contracts you sign, for the conduct of brands or agencies, or for the services of the identity-verification provider or the payment partner beyond what the law requires of us.
11. LIABILITY
To the extent the law allows, our liability to you is limited to the greater of the fees you paid us in the twelve months before the claim and USD 100. This limit does not apply to money set aside for a deal that has not been released or returned as these terms and your contract require, to death or personal injury caused by our negligence, to fraud, or to any liability that cannot be limited under the law of your country of residence.
12. ENDING THE AGREEMENT
You can close your account and remove your badge at any time. We can close your account if you break these terms, with notice and a reason unless the law prevents it. Money set aside for a signed deal is released or returned as that deal's contract provides, whatever happens to the account.
13. CHANGES
We may update these terms. We give you at least 30 days' notice of changes that affect you, by email and on this page. If you keep using the Service after the change takes effect, the new terms apply.
14. GOVERNING LAW AND CONTRACTING ENTITY
Your contract is with Cognitiva Systems Inc., a Texas corporation, in every market where the Service is offered. These terms are governed by the law of the State of Texas, United States. If you live outside the United States, nothing in these terms takes away protections that the law of your country of residence grants and that cannot be waived by agreement, or your right to bring a claim before the courts of that country where that law requires. If a local Cognitiva entity becomes the entity you contract with for your market, we will say so on cognitivasystems.com/disclosures before the change takes effect.
